Updates to SiteCare’s Master Terms and Conditions (Effective July 1, 2025)

At SiteCare, we’re committed to providing clear, dependable services that support the growth and success of your business. To better reflect the services we offer and set clearer expectations, we’ve updated our Master Terms and Conditions. Below is a section-by-section summary of the key changes, effective July 1, 2025. We encourage you to review the updates and reach out if you have any questions.

1. Defined Terms

Change: Expanded and clarified key definitions.

  • New terms added:
    • Guaranteed Uptime Customers
    • Medallion-tier Plan
  • Clarifications:
    • SiteCare Elements and Third-Party Materials now have sharper distinctions from Work Product.
    • Customer Content definition is formalized.

2. Scope of Services

Change: Broader description of Service scope, quoting procedures, and quick fixes.

  • Quote Validity: Quotes now expire after 7 days if not accepted in writing.
  • Quick Fixes: Defined as tasks taking 15 minutes or less; SiteCare reserves the right to separately quote larger tasks.

3. Accessibility and Compliance Services

Change: Formal addition of Accessibility Guarantee.

  • Up to $10,000 legal cost coverage if accessibility standards are met.
  • Applies only to Platinum and Diamond Medallion-tier customers, with specific conditions.

4. Hosting Management

Change: Significant clarifications to Hosting Management terms.

  • Eligibility for Guarantees: Requires both SiteCare-managed hosting and Cloudflare configurations.
  • Excluded Plugins: eCommerce, membership, forums, multisite plugins require separate updates or higher-tier plans.
  • Real-Time Backups: Clarified as recovery tools, not version control systems.

5. Hosting Service Level Agreement (SLA)

Change: Addition of Core Web Vitals performance guarantees and uptime credits.

  • Credits capped at one per month, six per year.
  • Specific eligibility criteria for Core Web Vitals performance guarantees.
  • Third-Party Services disclaimer strengthened.

6. Paid Advertising Services

New Section.

Details include:

  • Customer Ad Spend Responsibility: Clearer financial terms around prepaid vs. direct ad spending.
  • Ad Account Ownership: Customer retains ownership unless otherwise agreed.
  • Creative Work Product: Clarified rights and licenses around ad assets.

7. Billing and Payment Terms

Change: Expanded and clarified.

  • Annual Plan Refunds: No refunds once an annual plan is paid.
  • Late Fees: Interest rate of 1.5% per month clarified.
  • Chargebacks: Explicitly treated as breach of contract.

8. Termination and Default

Change: Expanded triggers for default.

  • Added: Failing to complete mandatory cancellation procedures or circumventing termination processes.

9. Disclaimers and Limitations of Liability

Change: Expanded protections for SiteCare.

  • Broader disclaimers of third-party services.
  • Explicit cap on liability to fees paid in the prior 12 months.

10. General Provisions

Change:

  • Strengthened integration and waiver clauses.
  • Clarified choice of law (Georgia).

If you are a current SiteCare client, these updated Master Terms and Conditions will automatically apply to your account starting July 1, 2025.
